LICENSE AGREEMENT

1. BETWEEN

This License AGREEMENT (hereafter referred to as the “AGREEMENT”) is signed between Soundstation Private Limited, having its registered office at F-1/2 Vasant Vihar, New Delhi, 110057 (hereafter referred to as the “SELLER”) and the user (NAME & ADDRESS) AS MENTIONED IN YOUR ACCOUNT DETAILS IN JAMPAD.IN (hereafter referred to as the “BUYER”) of the musical composition and recordings in the DELIVERY OF BEAT (hereafter referred to as the “BEAT”).

2. BEAT RIGHTS GRANTED TO THE BUYER

The SELLER grants the BUYER non-exclusive, non-transferable, non-saleable, non-assignable rights to use the BEAT in the production of ONE new musical composition and master recording (hereafter referred to as “NEW SONG”). The BUYER shall create a NEW SONG by combining the BEAT with new elements including lyrics, instrumental tracks, vocals, samples, or other sounds owned by or properly licensed to the BUYER.

3. BEAT RIGHTS RETAINED BY THE SELLER

The SELLER retains full copyright ownership or sub license right of the BEAT. The BUYER may not loan, rent, share, or resell the BEAT. BUYER shall not re-assign rights of the BEAT, in whole or in part, to any party including any individual, organisation, entity, etc etc.

Following the execution of this AGREEMENT, the SELLER may continue to transfer or license any and all rights to the BEAT to any other parties for any purpose, exclusively or non-exclusively. Previous licensees of the BEAT will retain their rights in full as per rights mentioned in this AGREEMENT.

4. PERMITTED USES OF THE SONG

• Distribution: BUYER has the right to distribute unlimited units of the NEW SONG combining hard copies, digital copies, and digital downloads.
• Streaming: BUYER is authorised unlimited streams of the NEW SONG on YouTube Spotify, Apple Music, Gaana, Wynk Music, Jio Saavan, and similar distribution services.
• Youtube: The BUYER may use the NEW SONG as an audio track in the creation of ONE music video. BUYER may upload this video to Youtube and other services
• Content ID: BUYER is not permitted to claim CONTENT ID on YouTube Spotify, Apple Music, Gaana, Wynk Music, Jio Saavan, and similar distribution services for the NEW SONG. This is because you do not own the copyright of BEAT.
• Monetisation: THE BUYER is permitted to monetise the NEW SONG based on the guidelines provided by Youtube, Spotify, Apple Music, Gaana, Wynk Music, Jio Saavan, and similar streaming services.
• Synchronisation: The use of the NEW SONG in film, television, video games, jingles and commercials is licensed separately, and such synchronisation uses are NOT PERMITTED.
• Duration: The BUYER can use the BEAT as per this AGREEMENT for a maximum period of 10 years from the date of purchase. Thereafter, if the BUYER wants to use the same BEAT, then the BUYER shall have to buy the BEAT again from the SELLER.

5. LIMITATION OF LIABILITY

SELLER shall NOT be liable for any indirect, consequential or special damages or for any loss of profits, loss of data or loss of goodwill, service interruption, computer damage or system failure or the cost of substitute products or services, or for any damages for personal or bodily injury or emotional distress arising out of or in connection with this AGREEMENT or the BUYER provision of the services, or from any communications, interactions or meetings with Users of the platform or other persons with whom The BUYER communicate or interact as a result of the BUYER use of the platform whether based on warranty, contract, tort (including negligence), product liability or any legal theory, and whether or not the SELLER has been informed of the possibility of such damage, even if a limited remedy set forth herein is found to have failed of its essential purpose.
7. Without prejudice to the foregoing, the SELLER maximum aggregate liability for all damages, costs, awards, liabilities, costs and expenses of any and all kinds that may arise out of or in connection with this AGREEMENT, whether under contract, tort or otherwise, shall not exceed the Fee paid to the BUYER for the BEAT.
8. DELIVERY OF BEAT

The SELLER shall deliver:

7. PAYMENT OF FEE

The BUYER agrees to pay/paid the SELLER INR xxx AS MENTIONED IN THE INVOICE (including Goods and Services Tax )
